Welcome to Bank.Green ("Bank.Green"), which provides the Green Policy Evaluator, a tool which helps extract structured data from financial institution policies] (the "Tool"). The Tool is provided and may be accessed via website https://ai.bank.green/ (the “Site”). By accessing the Site and the Tool, you agree to these terms of use and any Additional Terms (defined below), as may be amended from time to time (collectively referred to as the "Terms of Use"). Please read these Terms of Use carefully before using the Tool. This Terms of Use sets forth the terms applicable to your use of the Tool. BY USING THE TOOL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THE TERMS OF USE. IF YOU HAVE ANY QUESTIONS ON THE TERMS OF USE, YOU SHOULD CONSULT WITH A LAWYER BEFORE USING THIS SITE. If you do not agree to the Terms of Use, do not access the Tool or use the Tool.

In these Terms of Use, the words "you" and "your" mean the person who has accessed the Tool, as defined below. The words "we," "us" and "our" means Bank.Green. In some instances, both these Terms of Use and separate guidelines, rules or terms of use or sale setting forth additional or different terms and/or conditions will apply to your use of the Tool or to a service or product offered via the Tool. To the extent there is a conflict between these Terms of Use and any additional terms (as the case may be), the additional terms will control unless the additional terms expressly state otherwise. Additionally, certain features and services made available through the Tool from time to time may be governed by different terms of use.

By using the Tool, you acknowledge that your personal information will be processed in accordance with the Tool Privacy Policy, available at the following link.

This tool ingests financial institution policies and uses AI to help human beings extract structured data from them.

By consenting to the Terms of Use, you agree that: (i) you will provide accurate, current and complete information to Bank.Green, including, but not limited to, information required to register for the Tool; (ii) you will not use the Tool to reproduce, duplicate, copy, sell, resell, distribute, publish or exploit for any commercial purpose the software, content, information, data, offers, experiences, products or services provided by Bank.Green or obtained through the Tool without obtaining the express, prior written consent of Bank.Green. This restriction includes any attempt to incorporate any information from the Tool into any other directory, product, or service; (iii) you will provide for your own access to the Tool, including, but not limited to, obtaining and maintaining all telephone, computer hardware and software, and other equipment and paying all related charges; (iv) you will not use the Tool in any manner that adversely affects the availability of its resources to, or enjoyment by, other users or in any manner that could damage, disable, overburden or impair Bank.Green's; (v) you will not use the Tool for any purpose that is unlawful, tortious, abusive, intrusive on another's privacy, harassing, libelous, defamatory, embarrassing, obscene,

threatening, hateful or otherwise prohibited by the Terms of Use; (vi) you will not upload, post, reproduce or distribute any information, software, or other material protected by copyright or any other intellectual property right (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights; (vii) you will not collect or store personal data about other users; ; (ix) you will not upload, post, email, or otherwise transmit any advertising or promotional materials, including, without limitation, "junk mail," "surveys," "spam," "chain letters," "pyramid schemes," or any other form of solicitation or unauthorized communication; and (x) you will not upload, post, email, or otherwise transmit any material that contains viruses or any other computer code, files or programs that might interrupt, limit, or interfere with the functionality of any computer software or hardware or telecommunications equipment. Your access to the Tool may be terminated immediately in Bank.Green's sole discretion, with or without notice, if you fail to comply with any provisions of this Terms of Use and/or Additional Terms, or for any other reason, or no reason.

You represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government "watch list" of prohibited or restricted parties, including the Specially Designated Nationals List published by the Office of Foreign Assets Control of the U.S. Treasury or the Denied Persons List published by the U.S. Department of Commerce. You agree that Bank.Green will have no liability to you if this Tool is discontinued or your ability to access the Tool is terminated.

The Tool is a subscription-based service. Subscription can be paid on a monthly or annual basis. Any disputes regarding payment of respective subscription must be reported to Bank.Green within 60 days of the billing date.

Should you experience any significant non-performance of the Tool (including inability to upload documents or answer questions), Bank.Green may offer pro-rata refunds for such non-performance. Bank.Green does not guarantee for any pro-rata refunds due to non-performance caused by its upstream service providers.

Bank.Green retains the right to offer Pro-rata refunds on a discretionary basis and retains the right to modify the refund policy.

Certain areas of the Tool may require registration or may otherwise ask you to provide information to participate in certain features or access certain content. If you elect not to provide such information, you may not be able to access certain content or participate in certain features of the Tool.

If the Tool requires you to sign-up for an account or otherwise submit information, you must complete the specified process by providing us with current, complete, and accurate information as requested by the applicable online registration form. It is your responsibility to maintain the currency, completeness, and accuracy of your registration data and any loss caused by your failure to do so is your responsibility. After you have fully completed the registration form, you may be

asked to choose a password and a username. It is your responsibility to maintain the confidentiality of your password and account. Additionally, you are responsible for any and all activities that occur under your account. You agree to notify Bank.Green immediately of any unauthorized use of your account. You further agree not to email, post, or otherwise disseminate any user ID, password, or other information which provides you access to the Tool. Bank.Green is not liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

You are entirely responsible for maintaining the security and confidentiality of your account, credentials, and you are responsible for all activities and conduct by you or anyone else through your account. You agree to notify Bank.Green immediately of any unauthorized use of your account or any other breach of security. Neither Bank.Green nor its service providers or agents will be liable for any loss or damages of any kind that may arise as a result of someone else using your password or account, either with or without your knowledge; however, you may be held liable for any losses incurred by Bank.Green or another party due to someone else using your account or password due to your fault (including negligence).

Your use of the Tool requires you to have the ability to enter into agreements, and to make transactions, electronically. YOU ACKNOWLEDGE THAT YOUR ELECTRONIC SUBMISSIONS CONSTITUTE YOUR AGREEMENT AND INTENT TO BE BOUND BY SUCH AGREEMENTS. YOU ACKNOWLEDGE FURTHER THAT YOUR AGREEMENT AND INTENT TO BE BOUND BY ELECTRONIC SUBMISSIONS APPLIES TO ALL RECORDS RELATING TO ALL TRANSACTIONS YOU ENTER INTO ON THIS SITE, INCLUDING NOTICES OF CANCELLATION, TERMS OF USE, ADDITIONAL TERMS, POLICIES, CONTRACTS AND APPLICATIONS, AND ANY AMENDMENTS TO ANY OF THE FOREGOING.

Bank.Green reserves the right to change or modify the Tool and associated documents, including these Terms of Use, or discontinue any benefit, offer experience or other content at any time without notice to you. Bank.Green may at any time revise these Terms of Use by updating the link where these Terms of Use are posted or by providing further information during the registration or by messaging you. You are responsible for regularly reviewing the Terms of Use. Any changes or revisions are effective immediately upon posting. Continued use of or accessing the Tool following any such changes constitutes your acceptance of such changes.

Bank.Green reserves the right to modify or discontinue the Tool with prior notice. You may terminate your user account by sending an e-mail request to: hello@bank.green.com Bank.Green shall delete your user account within 10 working days from receipt of such e-mail request. For avoidance of any doubt, “working days” exclude Saturdays, Sundays, and Bank Holidays in any respective jurisdiction.

All text, formatting, including, without limitation, the selection, coordination and arrangement of materials on the Tool, and the images, graphics, animation, tools, widgets, applications, commercials, videos, music, sounds, articles, copy, creative materials, photos, trademarks, service marks, trade names, and logos, and other materials and information on this Tool (collectively, "Content") are subject to the intellectual property rights of Bank.Green, its subsidiaries and affiliates, and their respective licensors and licensees. The Content is protected by applicable intellectual property laws and all right, title and interest in the Content is owned by Bank.Green or used by Bank.Green under a license or with permission. Except to the extent permitted by law, Content may not be copied, reverse engineered, decompiled, disassembled, modified, reposted to other websites, framed, deep linked to, changed, or otherwise distributed, redistributed, licensed, sublicensed or transferred in any form by you. Nothing contained on the Tool shall be construed as granting, by implication, estoppel or otherwise, any license or right to make commercial use of any Content without Bank.Green's prior written permission. The trademarks, logos, trade names and service marks, whether registered or unregistered (collectively, the "Trademarks") displayed on the Tool are Trademarks of Bank.Green and its third-party partners. Nothing contained in the Tool should be construed as granting by implication or otherwise, any license or right to use any Trademark displayed on the Tool without the written permission of Bank.Green or such third party that may own the Trademark.

Any unauthorized commercial use of these materials will violate Bank.Green's intellectual property rights and will be subject to Bank.Green's full legal rights and remedies.

For avoidance of any doubt, intellectual property rights regarding personal and internal business use (non-commercial use) are regulated by a separate End-User License Agreement („EULA“) which you accept when entering the relationship with Bank.Green.

Bank.Green does not own any intellectual property rights on the data which you may enter, upload, submit or otherwise make available in the Site or the Tool. You should procure that you have the right to use any third party or documents which you may make available in the Tool.

You acknowledge and agree that Bank.Green will send you information and communications in connection with the Tool. Such communications may be sent to your registered email address or to any other contact details you have provided to Bank.Green in connection with the Tool. We will ask you to provide us the consent for such kind of communication where necessary under applicable laws.

In operating the Tool, Bank.Green may act as a "services provider” and offer services as online provider of materials and links to third party websites. As a result, third party materials that Bank.Green does not own or control may be transmitted, stored, accessed or otherwise made available using the Tool. You are solely responsible for having the authority to use all third-party copyrighted work which they would upload, submit or otherwise make available in the Tool.

Bank.Green has in place certain legally mandated procedures regarding allegations of copyright infringement occurring on the Tool and has adopted a policy that provides for the immediate removal of any content or the suspension of any user that is found to have infringed on the rights of Bank.Green or of a third party, or that has otherwise violated any intellectual property laws or regulations, or these Terms of Use. If you believe any material available through the Tool infringes a copyright, you should notify Bank.Green by e-mail. Bank.Green will respond expeditiously and has the right to remove or disable access to the material claimed to be infringing the copyright.

Please provide the following notice:

1. Identify the copyrighted work or other intellectual property that you claim has been infringed;
2. Identify the material on the Tool that you claim is infringing, with enough detail so that Bank.Green may locate it on the Tool;
3. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
4. A statement by you declaring under penalty of perjury that (a) the above information in your notice is accurate, and (b) that you are the owner of the copyright interest involved or that you are authorized to act on behalf of that owner;
5. Your address, telephone number, and email address; and
6. Your physical or electronic signature.

Bank.Green may give notice to its users of any infringement notice by means of a general notice on any of its websites or apps, electronic mail to a user's e-mail address in its records, or by written communication sent by first-class mail to a user's physical address in its records. If you receive such an infringement notice, you may provide counter-notification in writing to the designated agent that includes the information below. To be effective, the counter-notification must be a written communication that includes the following:

1. Your physical or electronic signature;
2. Identification of the material that has been removed or to which access has been disabled, and the location at which the material appeared before it was removed or access to it was disabled;
3. A statement from you under the penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled; and
4. Your name, physical address and telephone number, and a statement that you consent to the jurisdiction of a Federal District Court for the judicial district in which your physical address is located, or if your physical address is outside of the United States, for any judicial district in which we may be found, and that you will accept service of process from the person who provided notification of allegedly infringing material or an agent of such person.

Without limiting Bank.Green's other rights, Bank.Green may, in appropriate circumstances, terminate a repeat infringer's access to the Tool and any other website or app owned or operated by Bank.Green.

The Tool may contain third party content and links to other websites that are completely independent of this Site. Third-party content and links are included solely for the convenience of users and do not constitute any approval, endorsement or warranty by Bank.Green. Moreover, Bank.Green is not responsible for the accuracy, completeness, or reliability of third-party information, or the products or services offered or sold through any linked website and you assume sole responsibility for the use of third-party information. Any agreements, transactions, or other arrangements made between you and such third party are made solely at your own risk. When you click on a third-party link, you will leave the Tool. Any personal information you submit on the resulting site will not be collected or controlled by Bank.Green but will be subject to the privacy notice or terms of use of the resulting site. Bank.Green is not responsible for examining or evaluating, and we do not warrant the offerings of any third party content or Offer presented on this Site. You agree to indemnify, defend (at Bank.Green's option) and hold Bank.Green, each of their respective officers, directors, employees and affiliates harmless from and against any and all liabilities, losses, claims, costs, damages and investigations, judgments, fines, penalties, settlements, interest and expenses, including, without limitation, reasonable attorneys' fees and expenses, related to or arising from: (i) your breach or alleged breach of these Terms of Use; (ii) any claims, costs, injuries, losses and damages related to any unauthorized use of the Content caused by you; (iii) your violation or alleged violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental or quasi-governmental authorities in connection with your use of the Tool or your activities in connection with the Tool; (iv) your use and misuse of the Tool and your activities in connection with the Tool; (v) your violation or infringement of copyright or other intellectual property or other rights of third parties, or any other violation of law or breach of contract obligations; (vi) any misrepresentation made by you; and (vii) Bank.Green's use of the information that you submit to us (including your Submissions and User Submissions), to the extent they arise due to your fault. YOU WILL COOPERATE AS FULLY AND AS REASONABLY REQUIRED IN BANK.GREEN'S DEFENSE OF ANY CLAIM. BANK.GREEN RESERVES THE RIGHT, AT ITS OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, AND YOU SHALL NOT, IN ANY EVENT, SETTLE ANY MATTER WITHOUT THE PRIOR WRITTEN CONSENT OF BANK.GREEN.

IN NO EVENT SHALL BANK.GREEN'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE) OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU, IF ANY, (WHICHEVER IS LESS), FOR ACCESSING OR PARTICIPATING IN ANY ACTIVITY RELATED TO THE TOOL. NOTHING IN THESE TERMS EXCLUDES OR LIMITS BANK.GREEN'S LIABILITY: (I) FOR DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE, (II) FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR (III) FOR ANY MATTER THAT IT WOULD BE ILLEGAL FOR BANK.GREEN TO EXCLUDE OR ATTEMPT TO EXCLUDE ITS LIABILITY.

The Tool may be delayed, modified, suspended, rescheduled or cancelled by Bank.Green due to: weather conditions or other elements of nature or acts of God (including, without limitation, fire, earthquakes, floods, hurricanes, tornadoes, droughts, unusually severe weather), civil or military authority, the public enemy, or war; riots; accidents; explosions; power surges; strikes or labor disputes; delays in transportation or delivery; epidemics; pandemics; quarantine or embargo; public health emergency of local, national or international concern; terrorism or threats of terrorism; national or regional emergency; error or disruption to major computer hardware or networks or software failures; and any other event that is beyond the reasonable control of Bank.Green.

Any dispute or claim that arises out of or relates to the Tool, Offers, the Content, your User Submissions, Submissions, these Terms of Use, any advertising or marketing communications regarding Bank.Green or the Tool, any products or services sold or distributed through the Tool (collectively, "Dispute") shall be governed by and construed in accordance with UK law. The competent forum shall be the court of actual jurisdiction London.

These Terms of Use including any non-contractual obligations or liabilities arising out of or in connection with them, shall be construed, interpreted and performed exclusively according to the laws of the UK law, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods (1980) is hereby excluded in its entirety from application to these Terms of Use. We reserve the right to limit the availability of the Tool and/or the provision of any content, program, product, service, or other feature described or available on the Tool to any person, entity, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any content, offer, program, product, service, or other feature that we provide.

IF YOU CLAIM THAT YOU HAVE INCURRED ANY LOSS, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR USE OF THE TOOL, THEN THE LOSSES, DAMAGES, AND INJURIES WILL NOT BE IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR TO OTHER EQUITABLE RELIEF OF ANY KIND. THIS MEANS THAT, IN CONNECTION WITH YOUR CLAIM, YOU AGREE THAT YOU WILL NOT SEEK, AND THAT YOU WILL NOT BE PERMITTED TO OBTAIN, ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF ANY WEBSITE, WIDGET APPLICATION, CONTENT, USER-GENERATED CONTENT, SUBMISSIONS, USER SUBMISSIONS, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED OR CONTROLLED BY BANK.GREEN (INCLUDING YOUR LICENSED USER SUBMISSIONS) OR A LICENSOR OF BANK.GREEN.

Content and software from the Tool may be subject to UK export jurisdiction and the import jurisdiction of other countries. In connection with your use of this Site, you are solely responsible for complying with all applicable export, re-export, and import control laws and regulations of all applicable jurisdictions, country-specific economic sanctions and export and import control laws and regulations of any other countries. You may not, directly or indirectly, use, distribute, transfer or transmit content or software from this Site, whether by way of a direct product or of such materials or products, software, or other technical information into which content or software from this Site has been incorporated, except in compliance with all applicable export and import laws and regulations of all relevant jurisdictions.

Bank.Green reserves the right, without any limitation, to: (i) investigate any suspected breaches of its Site security or its information technology or other systems or networks, (ii) investigate any suspected breaches of these Terms of Use and any additional terms, (iii) investigate any information obtained by Bank.Green in connection with reviewing law enforcement databases or complying with criminal laws to the extent permitted by the applicable data protection law, (iv) involve and cooperate with law enforcement authorities in investigating any of the foregoing matters, (v) prosecute violators of these Terms of Use, and (vi) discontinue the Tool, in whole or in part, or, except as may be expressly set forth in any additional terms, suspend or terminate your access to it, in whole or in part, including any user accounts or registrations, at any time, without notice, for any reason and without any obligation to you or any third party. Any suspension or termination will not affect your obligations to Bank.Green under these Terms of Use. Upon suspension or termination of your access to the Tool, or upon notice from Bank.Green, all rights granted to you under these Terms of Use will cease immediately, and you agree that you will immediately discontinue use of the Tool. The provisions of these Terms of Use, which by their nature should survive your suspension or termination, will survive, including the rights and licenses
